Calling all of these steps a “food business licence” hides decisions that must be made separately. The Food Safety Law states that a facility can receive the Food Safety Eligibility Certificate when it has food-safety conditions suited to its type of production or business and has registered the food business line. 1
That sequence matters in practice. A business-registration record helps demonstrate the registered activity, but it is not an inspection result, a product declaration, an import clearance or proof that a site meets the relevant food-safety conditions. Decree No. 168/2025 says an Enterprise Registration Certificate, ERC, is not a business licence. It records enterprise-registration information, while specialised operational conditions remain a separate question. 7
Begin the project with a one-page operating map. List each product category, whether the site manufactures, repacks, stores, trades, serves or combines activities, every physical premise, the people who directly handle food, and the route to market. Add import, online sale, advertising and foreign-investment facts only where they are genuinely part of the model. This is not bureaucracy for its own sake. It avoids choosing a certificate procedure from a trade name, a menu heading or a generic business code.

2. Screen the certificate route before relying on an exemption
The general rule is clear but the application is fact-specific. Decree No. 15/2018 provides that food manufacturers and sellers must hold a Food Safety Eligibility Certificate, subject to the exceptions in its Article 12. Resolution No. 15/2026/NQ-CP suspended Decree No. 46/2026 and continued Decree No. 15 and its implementing guidance during the transition to amended food-safety legislation. An online storefront may still be linked to a physical facility; a small operator may still handle food in a way that requires assessment; and a food service model can include manufacturing, trading or storage features. The Food Safety Law and the MOIT procedures also show an important distinction. A facility that falls outside the certificate requirement is not thereby free of food-safety duties. The MOIT procedures state, for facilities in their stated remit, that certain non-certificate cases must still satisfy conditions appropriate to the activity and follow the relevant local commitment or notification route. 3. Confirm the authority and the operational perimeter
The competent authority is not a matter of applicant preference. The Food Safety Law assigns the Ministers responsible for Health, Agriculture and Rural Development, and Industry and Trade to set the detailed issuance and withdrawal authority for their assigned fields. Current delegation and provincial implementation must then be checked against the exact product, facility and operation. A food operator should therefore map authority after classifying the operation, not before. 1
MOIT’s online public-service procedures are useful illustrations of why scope matters. Procedure 2.001293 concerns production or combined production-and-trading facilities under the stated MOIT remit, while Procedure 2.000117 addresses food business facilities under its stated remit. Both describe document, appraisal and follow-up mechanics, but neither supplies a universal checklist for products outside that remit. 45
Keep the operational perimeter realistic. A company that operates a production room, a warehouse and a retail or service point may need to analyse each function and site, rather than assuming the first certificate question answers all of them. Similarly, import, advertising and online-platform functions can be separate compliance workstreams. This guide deliberately does not provide a product-import, product-declaration, alcohol, supplement, labelling or advertising determination.
4. Build the facility-readiness file before filing
For a qualifying facility, the file should be developed alongside site readiness, not after fit-out. Article 36 of the Food Safety Law lists a statutory baseline: an application, business-registration evidence, an explanation of the facility, equipment and utensils, health confirmation for the owner and direct food workers, and food-safety-training confirmation for the same groups. The responsible authority’s current procedure can require forms or evidence tailored to its remit. 1
The key control is consistency. The description of the physical site, equipment, products, activity and people should agree across the submission and the original records maintained at the facility. Under the MOIT production or combined-facility procedure, the appraisal checks consistency between the submitted registration dossier and the original dossier held at the facility, then assesses food-safety conditions at the site. A polished filing cannot compensate for a mismatch between the file and the operating reality. 4
Assign a single internal owner to maintain version control. That person should coordinate the activity map, floor and equipment narrative, personnel evidence, business-record alignment and authority correspondence. This is especially useful where a project team is dividing responsibilities among a foreign parent, Vietnam entity, landlord, contractor, quality manager and commercial team. It also creates a durable record for later reissue planning or a site-change review.

5. Control the filing, appraisal and reissue sequence
A controlled sequence reduces avoidable rework. First classify the activity and product, then confirm the current legal transition and competent authority. Next align the entity’s recorded activity and assemble site and personnel evidence. Only then submit to the confirmed procedure, monitor the validity review, prepare for the on-site appraisal and record the outcome. Treat this as a planning framework, not a universal statutory timetable or a promise of approval. 123
For the stated MOIT production or combined production-and-trading remit, the public-service procedure publishes distinct stages. The authority checks dossier validity within five working days of receipt. After a complete and valid dossier, it organises an on-site appraisal within 15 working days. When the appraisal result is “pass”, it issues the certificate within five working days. The portal lists 22 working days from receipt of a complete valid dossier, but that published route does not include facility preparation, an incomplete-file period, remediation, other permits or a different authority’s procedure. 4
The appraisal outcome is operationally important. The same MOIT procedure uses “pass”, “not pass” or “awaiting completion” outcomes. If a facility is awaiting completion, the published MOIT procedure describes a corrective period of up to 60 days and a reassessment after the corrective report; it also states that a site that remains non-compliant should not operate until it receives the certificate. Those points are specific to the named MOIT procedure and must not be generalised to every food authority. 46
Finally, set a renewal control when the certificate is issued. The Food Safety Law gives the certificate a three-year term and requires a continuing operator to apply for reissue within six months before expiry. The diary should also flag planned site, product, activity, ownership or operational changes for a new authority and record review. 1

6. Foreign-invested food operators need a separate access screen
A facility certificate does not decide whether a foreign-invested operator has satisfied market-access, investment-project or distribution requirements. Law on Investment No. 143/2025/QH15 treats conditional business investment and foreign-investor market access as separate legal screens. The latter may turn on the exact activity, ownership ratio, investment form, scope, investor capacity, Vietnamese partner or treaty and other legal conditions. 89
This does not mean every food project has the same restriction. It means a founder should not use a food-safety certificate, an ERC business line or a broad “F&B” description as a conclusion on foreign access. Confirm the ultimate investor, activity chain, site, trading or distribution role, import facts and applicable current list before committing capital or signing a launch contract. The National Business Registration Portal is a useful starting point for checking conditional business-line references, but it is not a substitute for the current specialised rule and investment review. 7810

Name the Vietnam site, map the real food activity, identify the product and authority question, then allocate an owner for the facility-readiness file. This approach is more reliable than asking a consultant or authority only, “Do we need a food licence?” because it gives them the facts needed to select the correct route. 12
Use a simple operating rule: do not advertise a launch date, receive inventory for a new activity or begin food handling until the applicable registration, authority, facility and product workstreams have been confirmed. That rule does not assume a certificate is required in every case. It ensures the team has documented why a certificate, an exception assessment or another control is the correct next step.

A brand may describe itself as a retailer while also portioning food, preparing samples, operating a central kitchen or storing stock at a separate location. Another business may use a delivery platform but prepare food in its own premises. Those operational facts, rather than the customer-facing description, are what should be escalated for the certificate, authority and product-control screens. Where the team cannot describe the activity consistently, it should pause the assumption that a standard retail or online route applies. 25
A practical readiness review has three outputs. First, create a factual operating summary that a local adviser or competent authority can understand without reconstructing the business model. Second, identify document owners and expiry or change triggers. Third, create a short gap log that distinguishes an incomplete fact from a completed requirement. This separation prevents the common problem of treating a missing answer as evidence that a requirement does not apply. It also gives a regional or overseas parent a clear basis for deciding whether to adjust the facility plan before commercial commitments become difficult to change.
