Vietnam Representative Office: What It Can Do, What It Cannot Do and Setup Steps
Key takeaways
- This guide concerns an RO of a foreign trader. It does not cover an internal representative office of a Vietnam-incorporated company, which follows a different enterprise-registration route. 1 5
- An RO may work within its licensed purpose and scope, but cannot directly conduct profit-generating activities. Appropriate written authority is required for a chief representative to sign, amend or supplement a contract. 3
- Eligibility normally turns on the foreign trader’s lawful establishment, at least one year of operation, remaining registration term where relevant, and treaty-compatible proposed RO activities. Some cases take a specialist-ministry opinion path. 1 2
- The ordinary authority stages are a three-working-day completeness review and a seven-working-day decision point after a complete valid dossier. Neither is a total market-entry timeline. 2
- An RO licence is valid for up to five years, but cannot outlast the remaining term of a time-limited foreign-trader registration document. 1
A representative office supports a defined market-presence purpose, not direct profit-generating operations.

A Vietnam representative office can be a useful first presence when a foreign trader needs local market intelligence, relationship-building and permitted promotion without launching a local revenue operation. It is not a lighter version of a trading subsidiary. The practical question is whether the intended Vietnamese activity, contract role and money flow stay inside the representative-office, or RO, perimeter before a licence application is prepared.
Direct answer: A Vietnam representative office of a foreign trader is a licensed dependent office for permitted liaison, market and commercial-promotion functions. It may not directly conduct profit-generating activities in Vietnam. The foreign trader generally needs at least one year of operation, treaty-compatible planned activities and a complete, correctly prepared dossier before the RO can operate. First, confirm which “representative office” you mean
The first decision is entity identity. This article addresses a representative office established in Vietnam by a foreign trader under Decree No. 07/2016/ND-CP, not an internal dependent unit of an enterprise already incorporated in Vietnam. Decree 07 expressly excludes representative offices and branches of foreign-invested economic organisations established in Vietnam, so an overseas parent’s ownership of a Vietnam company does not put that Vietnam company’s internal office under the same regime. 1, 5
That distinction changes the filing authority, documentation and operating analysis. A foreign trader is a trader established and registered, or recognised, under foreign law. Its Vietnam RO is dependent on that foreign trader, while the foreign trader remains responsible for the RO’s Vietnam activities. A Vietnam-incorporated company, including a foreign-invested one, is a Vietnamese trader for this purpose and should use the enterprise-registration framework applicable to its own dependent unit instead. 3, 5
For a regional group, this is more than terminology. Begin with the legal name that will apply, the country of registration, the relationship between the parent and any existing Vietnam entity, and the intended location. If the operating plan is for the existing Vietnam company to open a dependent office, stop using the foreign-trader RO checklist. If the foreign parent itself is seeking a first local presence, the Decree 07 route may be relevant, subject to the eligibility and scope checks below.
Working definition. In this guide, “RO” means a licensed representative office of a foreign trader. It is a market-presence vehicle with a defined legal purpose, not a separate Vietnamese company. 1, 3
What a foreign-trader RO can do, and where the line is
The central rule is direct: a representative office must not directly conduct profit-generating activities in Vietnam. The Commercial Law permits an RO to operate for the purposes, within the scope and duration in its establishment licence. It may, subject to applicable law, rent premises, obtain equipment, recruit Vietnamese and expatriate employees, and open stated operational accounts. It may also carry out commercial-promotion activities within the scope permitted by law. These permissions do not turn an RO into a local seller or a substitute for the entity that earns the revenue. 3
The operational boundary is best tested against the whole transaction rather than a label such as “business development.” Identify the customer, the contracting party, the signatory, the invoice issuer, the bank account receiving funds, the party delivering the goods or services, and who bears the commercial risk. If the Vietnam activity is moving towards local sales, invoices, revenue collection or fulfilment for profit, treat that as an operating-company signal and reassess the structure before proceeding. The legal consequence depends on the facts, licence scope and other applicable law, so this is a control trigger, not an automatic legal conclusion. 3, 1
Contract authority deserves its own check. The Commercial Law says an RO must not enter into contracts or amend or supplement contracts already entered into by the foreign trader, except where the chief representative holds a valid letter of authorisation from the foreign trader or another stated legal exception applies. A broad job title is therefore not a safe substitute for reviewing the relevant written authority, transaction and licence scope. 3

Use the matrix as a triage aid, not as a transaction approval. It deliberately uses “potentially consistent” and “needs specific control” rather than promising that a particular activity is permissible. The licence purpose, the parent’s authorisation and any sector, labour, banking, tax, data or immigration rules may each add requirements. 1, 3
Eligibility: test the foreign parent before collecting documents
A foreign trader should pass the eligibility screen before spending time on translations or premises documents. Under the current official procedure, the trader must be established or registered under the law of a country or territory that participates in an international treaty to which Vietnam is a party, or be recognised by such law; it must have operated for at least one year from establishment or registration. Where the trader’s registration document has a stated term, that term must have at least one year remaining when the dossier is filed. The intended RO activity must also be compatible with Vietnam’s relevant treaty commitments. 1, 2
These conditions make a short parent profile useful. Record the exact foreign registration document, incorporation or registration date, expiry date if any, ownership and authority chain, parent business activities, planned Vietnam activity, and proposed RO head. Do not infer eligibility solely from a well-known home jurisdiction or because another group company operates in Vietnam. The official procedure describes a separate specialist-ministry opinion route if the proposed activity is not consistent with Vietnam’s commitments, or the trader is not from a country or territory participating in a treaty to which Vietnam is a party. 2
The treaty and activity review is especially important where an RO description blurs research and promotion with an intended operating or regulated service. A foreign investor’s market-access analysis under the Law on Investment and Decree No. 96/2026 is distinct from the RO licence question. Conditions may depend on the precise activity, investment form, scope, investor capacity, partner requirements or treaty position. A future subsidiary or other operating structure should be assessed under that separate framework rather than assumed to be authorised by an RO licence. 6, 7
| Readiness item | What to verify before filing | Why it matters |
|---|---|---|
| Correct applicant | The foreign trader, not merely a foreign shareholder or a Vietnam subsidiary. | It determines whether the Decree 07 RO regime applies. |
| One-year operation | Start date on the foreign trader’s registration or equivalent record. | The official procedure includes a minimum one-year operation condition. |
| Remaining term | At least one year left where the foreign registration has a fixed validity term. | A short parent registration term can limit or prevent the planned filing. |
| Proposed scope | A plain-English activity statement plus contract and revenue map. | It supports the treaty and RO-scope review. |
| Group authority | Appointment and authority chain for the proposed chief representative. | It prevents a later mismatch between parent decisions and local actions. |
Decision aid, how to use it. If any row is uncertain, resolve it before translating a full dossier. A clear activity and revenue map is usually more valuable than a generic “business development” description because it lets the issuer assess the actual licensed purpose. 1, 2
Prepare the licence dossier and premises evidence as one controlled file
The official procedure lists a focused but cross-border dossier. It includes an application in the Ministry of Industry and Trade form signed by the foreign trader’s authorised representative; a copy of the foreign trader’s business registration or equivalent document; the foreign trader’s appointment of the RO head; and a copy of a recent audited financial statement, confirmation of tax or financial-obligation performance for the latest financial year, or equivalent evidence issued by a competent authority or organisation where the foreign trader is established. Identity documents for the proposed RO head and evidence for the intended premises are also listed. 1, 2
Premises are not merely an administrative afterthought. The official procedure refers both to a memorandum or agreement to lease, or evidence of the right to exploit and use the location, and to documents showing that the intended RO headquarters complies with Article 28 of Decree 07 and related law. The precise property evidence can depend on the filing authority and location. A team should therefore decide the intended address early enough to obtain consistent lease and location documents, without presenting a generic office address as confirmed compliance. 2
Translation, certification and legalisation should be planned document by document. The official portal states that specified foreign documents must be translated into Vietnamese and certified under Vietnamese law, while the foreign business-registration copy must be consularly legalised unless an applicable treaty provides otherwise. The actual requirement can depend on the document, issuing jurisdiction, language and authority procedure. Avoid a blanket instruction that every page needs the same formalities; ask the intended licensing authority to confirm the current form and documentary treatment before filing. 2
MOIT announced a consolidated 2026 forms record that brings together establishment, reissue, adjustment, extension, termination and reporting forms under the RO and branch regulations. That consolidation supports easier current-form checking, but it does not replace the substantive eligibility and scope requirements in Decree 07. Use the live form and the relevant provincial or zone channel at the point of filing. 4
Setup steps: use official review points realistically
A disciplined setup sequence separates preparation from the authority’s statutory decision stages. First define the actual Vietnam activity and revenue model. Second confirm that the applicant is a qualifying foreign trader and that the planned activity passes the treaty and scope screen. Third build the parent, appointment, financial or tax, identity and premises evidence, then check translation, certification and legalisation requirements. Only after these controls are clear should the applicant use the current authority form and submission channel. 1, 2, 4
The Ministry of Industry and Trade procedure says the licensing authority checks the dossier within three working days of receipt and may request supplementation if the file is incomplete or invalid. It says this request is made at most once during processing. Except for the special route, the authority grants or refuses the establishment licence within seven working days after receiving a complete valid dossier; a refusal must be in writing and state reasons. Those are authority decision points, not a forecast of when a team will be ready to operate. 2
Where the RO activity is not consistent with Vietnam’s commitments, the foreign trader is outside the described treaty-country condition, or the RO establishment is not addressed in specialised legal documents, the procedure lays out a specialist-ministry opinion sequence. The licensing authority sends the request within three working days of receiving a complete valid dossier; the specialised ministry has five working days to state its view; and the licensing authority then has five working days after receiving that view to grant or refuse the licence. This is a process route, not a presumption of consent. 2

Evidence, authority review and the licence-term diary.
Original visual based on Decree No. 07/2016/ND-CP, Articles 7 and 9–11, and MOIT Procedure 2.000063. Working-day markers are authority stages, not an end-to-end setup promise.
For planning purposes, keep two timelines. The legal timeline begins at the authority’s receipt of a complete valid dossier. The project timeline begins much earlier, when the parent must gather evidence, settle a practical address, arrange document formalities and make an accurate scope decision. Keeping those timelines separate prevents an internal launch plan from treating seven working days as a guaranteed door-to-door completion period. The procedure permits direct, postal or online filing where conditions allow, but availability and implementation should be confirmed with the competent authority. 2
Operate within the licence, then recognise the upgrade trigger
The licence is the beginning of an operating-control process, not the end of it. The Commercial Law makes the licence’s purpose, scope and duration central to an RO’s lawful operation. It also requires the RO to meet its reporting and financial obligations under Vietnamese law. Establish a simple activity log, approval route and term diary from the start, particularly if the Vietnam team’s responsibilities will evolve quickly. 3
A useful control is a quarterly comparison between the written Vietnam activity statement and what the team is actually doing. Review new customer interactions, proposals, contracting requests, invoicing instructions, funds flows, staff mandates, premises changes and any regulated service. This does not replace specialist advice. It gives the regional lead a practical early-warning system before a market-test office drifts into activities that need an operating company, a different approval or a revised licence analysis.

Licence duration should sit on the same dashboard. Decree 07 provides that an RO establishment licence is valid for up to five years, but it cannot exceed the remaining term of the foreign trader’s registration or equivalent document where that document has a stated term. Do not assume that every licence will be issued for five years or that extension is automatic. Check the current extension procedure and form before the licence end date becomes operationally urgent. 1, 4
The upgrade decision is usually commercial before it is administrative. If the plan needs a Vietnam counterparty to sell, invoice, collect local revenue, employ a growing operating team, hold stock, deliver services or obtain a sectoral permission, the group should revisit its structure instead of attempting to stretch an RO’s role. A Vietnamese entity may be a more appropriate route, but foreign-investor market access, conditional-business requirements and the exact activity still need a separate current review. The official conditional-business portal is a useful starting point, not a substitute for the underlying specialised rule. 6, 7, 8

What this means for a regional market-entry lead
For a regional market-entry lead, the safest first deliverable is a one-page Vietnam activity statement, not a pre-filled application form. State the foreign trader applicant, target city, purpose of the local presence, activities the RO will undertake, activities it will not undertake, proposed personnel, customer-contact model, contract signatory, invoice issuer and destination of funds. Use it to challenge whether the plan is genuinely liaison and market development, or whether it already needs a revenue-generating operating vehicle.
Then give ownership of four controls to named people: parent evidence and document formalities, premises evidence, local filing and response management, and post-licence scope monitoring. A small RO can still create large coordination problems when commercial, finance and people teams hold different assumptions. The purpose of the controls is not to make market testing slow. It is to prevent a local team from being asked to perform a commercial role that the selected structure does not support.
Common mistakes to avoid
Calling the RO a sales company. Direct profit-generating activities are prohibited. Keep the revenue, invoicing, contracting and fulfilment map visible from the first planning meeting. 3
Using the wrong legal regime. Do not apply the Decree 07 foreign-trader RO route to an internal representative office of a Vietnam-incorporated company. 1, 5
Treating seven working days as the whole setup project. The ordinary decision point starts only after a complete valid dossier, and preparation or a specialist opinion can add time. 2
Leaving legalisation and translations to the end. The official procedure identifies document-specific translation, certification and legalisation treatment; confirm it early against the actual parent documents. 2
Assuming a letter of authority permits every contract. Authority must be appropriate and valid for the relevant transaction, and it does not remove the direct-profit boundary. 3
Letting market testing drift into operations. When the commercial model changes, restart the structure and sector-condition review before the local team acts on it. 6, 7, 8
NEXT STEP; A structure check should happen before the Vietnam team is asked to take on local revenue-generating work.

Frequently asked questions
What can a representative office do in Vietnam?
A representative office of a foreign trader may operate for the purpose, scope and duration shown in its licence. The Commercial Law identifies functions such as renting an office, obtaining necessary equipment, recruiting staff, using stated operational accounts and commercial promotion within the permitted scope. It may not directly conduct profit-generating activities. The practical answer for any proposed action depends on the licence and transaction facts. 3 1
Can a Vietnam representative office invoice customers or make sales?
The safe starting point is that an RO may not directly conduct profit-generating activities in Vietnam. The Commercial Law also limits contract actions unless the chief representative has valid written authorisation for the relevant transaction or another stated exception applies. Do not rely on a job title or an informal parent instruction. Review the customer, contract, invoice, delivery and funds flow before the local team acts. 3
How long does it take to open a representative office in Vietnam?
The official MOIT procedure provides a three-working-day completeness review and, outside the separate specialist-opinion route, a seven-working-day decision point after receipt of a complete valid dossier. These are not an end-to-end setup promise. Time may also be needed for parent evidence, translations, document formalities, premises documents, a supplementation request and any applicable specialist-ministry sequence. 2
What documents are needed for a Vietnam representative office?
The official procedure lists an application, the foreign trader’s registration evidence, appointment of the RO head, recent audited financial statements or equivalent financial or tax-performance evidence, the head’s identity documents and premises evidence. The authority also specifies translation, certification and legalisation treatment for particular documents. Confirm the current form, document equivalence and local procedure before assembling a final filing set. 1 2 4
How long is a Vietnam RO licence valid?
Decree No. 07/2016/ND-CP provides a licence term of up to five years. If the foreign trader’s registration or equivalent document has a stated term, the RO licence cannot extend beyond that remaining term. This is a ceiling, not a promise of a five-year licence or automatic extension. Put the issued licence end date and the current extension-form check on the RO’s compliance calendar. 1 4
Can a foreign-owned Vietnam company set up an RO under Decree 07?
Not through the foreign-trader RO regime described here. Decree 07 excludes representative offices and branches of foreign-invested economic organisations incorporated in Vietnam. A Vietnam-incorporated company considering its own dependent unit should follow the enterprise-registration framework instead. The parent’s foreign ownership does not make that internal unit a Decree 07 foreign-trader representative office. 1 5
Conclusion: choose the RO for a defined market-presence job
A Vietnam representative office can be a disciplined way for a qualifying foreign trader to build local intelligence, relationships and permitted commercial-promotion capability. It only works when the planned role stays within the licence, avoids direct profit-generating activity and is supported by a complete parent-and-premises dossier. The important decision is not simply whether an RO can be licensed, but whether it matches the company’s intended revenue, contracting and delivery model. 1, 2, 3
Before filing, document the activity, contract and revenue map; test the parent’s eligibility and treaty position; confirm document formalities and the current authority channel; and diarise the licence term. If that map reveals an operating business rather than a liaison presence, seek a current structure and market-access assessment before committing the Vietnam team to work that the RO cannot safely perform.
